Terms and Conditions
Interpretation
- 'Contract' means these standard trading terms and conditions of sale (which applies to each and every Quotation and/or Order) and includes any Quotation and Order.
- 'Customer' means the entity to which Voltex Electrical enters into a Contract for the sale of Goods.
- 'Force Majeure Event' means an event or cause beyond the control of a party, including an act of God, lightning, storm, flood, earthquake, fire, explosion, war, terrorism, pandemic or epidemic, government direction or order, expropriation, prohibition, intervention, direction or embargo.
- 'Goods' means the goods described in the Quotation or Order and includes replacement goods.
- 'Order' means a written or verbal order provided by the Customer to Voltex Electrical.
- 'Quotation' means a written or verbal quotation provided by Voltex Electrical to the Customer.
- 'Voltex Electrical' means the Australian company Voltex Holdings Pty Ltd (ACN 633 504 131) and its subsidiaries Voltex Electrical Accessories Pty Ltd (ABN 81 097 390 933) and Voltex Electrical Ltd (NZBN 4314138) which supply the Customer from time to time.
- 'Voltex Share' means a feature provided as a way to interact with other Voltex Electrical users.
Order
- Voltex Electrical will provide a Quotation to the Customer.
- If the Quotation is accepted by the Customer, the Customer will submit an Order.
- Voltex Electrical reserves the right to accept an Order in whole or in part.
- Once Voltex Electrical has accepted an Order, the Order for Goods will be binding upon Voltex Electrical and the Customer may not alter or modify the Order without the prior consent of Voltex Electrical.
- Voltex Electrical may, in its absolute discretion, accept the return of a Good by written notice to the Customer, in exchange for a full refund or a credit. Voltex Electrical may, in its absolute discretion, charge a reasonable re-stocking fee for all returned Goods.
Prices
- All prices contained in the Quotation and Order will be exclusive of GST.
- Prices will be in Australian dollars or New Zealand dollars, depending on the office which the Customer submits the Order.
- Voltex Electrical may amend its prices upon 30 days' prior written notice to the Customer.
- All invoices must be settled in the same currency as set out in the Order.
Payment and Credit Terms
- For Australian Customers, unless otherwise agreed in writing, the payment due date is strictly 30 days from the end of the month in which the Order is accepted by Voltex Electrical.
- For New Zealand Customers, unless otherwise agreed in writing, the payment due date is strictly 20th of month following invoice in which the Order is accepted by Voltex Electrical.
- The Customer will be in default if the Customer does not pay a duly issued Invoice on or before the date which it becomes due and payable. Voltex Electrical reserves the right to report a Customer's delinquent account to a credit reporting agency should payment remain outstanding for more than 30 days.
- The Customer authorises Voltex Electrical to engage in the exchange of information with a credit reporting agency, a trade referee, or other such third parties as are necessary to obtain a report, containing personal credit information about the Customer and any additional information required by Voltex Electrical.
- Voltex Electrical may exchange information about the Customer with those trade referees name in the application form for a trading account or named in a consumer credit report issued by reporting agency to:
- assess the Customer's application;
- notify other credit providers of a default by the Customer;
- exchange other information with other credit providers as to the status of the trading account, if the Customer is in default with other credit providers; and
- assess the credit worthiness of the Customer.
- Voltex Electrical may refer any outstanding account for debt collection or issue legal proceedings to recover any outstanding invoices. Should an account be referred, the Customer acknowledges and agrees it will be required to pay debt collection charges. The Customer will also be liable for any interest and all legal costs associated with such recovery, on a solicitor and own Customer or indemnity cost basis.
Delivery of Goods and Risk
- Delivery of the Goods will be made to the Customer's nominated address. The Customer must make all arrangements necessary to accept delivery (within usual business hours) of the Goods on the delivery date notified by Voltex Electrical.
- The failure of Voltex Electrical to deliver will not entitle the Customer to treat this Contract as terminated or not pay for the Goods in full.
- Subject to e) below, delivery will be free in store (FIS) Australia wide for all Orders over AUD$150.00 (GST exclusive). A nominal market rate freight charge will apply to all Orders under AUD$150.00 (GST exclusive).
- Subject to e) below, delivery will be free in store (FIS) New Zealand wide for all Orders over NZD$150.00 (GST exclusive). A nominal market rate freight charge will apply to all Orders under NZD$150.00 (GST exclusive).
- The Customer will be liable to pay additional delivery charges if a delivery date is required outside of usual delivery times.
- Risk in respect of the Goods will pass to the Customer, on delivery in accordance with clause (a) above.
Retention of Title
- All Goods remain the property of Voltex Electrical until the Customer has paid for the Goods in full.
- If the Goods are on-sold by the Customer before payment is made to Voltex Electrical, the proceeds of the sale will become the property of Voltex Electrical.
- If the Goods are not paid for in accordance with these Terms, Voltex Electrical may give notice in writing to the Customer to immediately return the Goods or any part of them to Voltex Electrical.
- The Customer grants an irrevocable right to Voltex Electrical to enter the Customer's premises without notice, at any time to take possession of the Goods if:
- the Customer does not pay for the Goods in full, in accordance with this Contract;
- the Customer fails to return the unpaid Goods upon demand;
- a trustee in bankruptcy, administrator, or receiver and manager is appointed to the Customer;
- winding-up proceedings in relation to the Customer are commencing; or
- the Customer becomes insolvent or bankrupt (as applicable).
Inspection and defects
- The Customer will inspect the Goods on delivery and will within seven days of delivery and notify Voltex Electrical in writing of any alleged defect, shortage in quantity, errors, omissions or failure to comply with the Order. If the Customer fails to comply with these provisions, the Goods will be deemed to be free from any defect or damage and payment will be owing under this Contract without set off.
- The Customer must allow Voltex Electrical the opportunity to inspect the Goods within a reasonable time of delivery, if the Customer notifies Voltex Electrical that it believes the Goods are defective in any way.
- The Customer may only reject the Goods if Voltex Electrical agrees in writing that the Goods are defective.
- The Goods must have a corresponding invoice number quoted:
- freight charges incurred for the return of the Goods being returned is at the expense of the Customer. Unless otherwise agreed; and
- Voltex Electrical's liability is limited to (at its discretion):
- refunding the price of the Goods;
- replacing the Goods; or
- repairing the Goods.
Limitation of Liability
- The liability of Voltex Electrical to the Customer in the event of any breach of this Contract by the Customer or other cause of action in respect of the Goods, will not exceed the price of the Goods ordered in the preceding 12 month period to the date of the breach.
- To the extent permitted by law, neither party will have any liability whatsoever for any indirect losses, expenses, damages and costs sustained or incurred by the other party arising out of or in connection with the supply of the Goods or these terms.
- Voltex Electrial's liability under this Contract will be reduced to the extent that the Customer caused or contributed to the claims or loss.
- It is the responsibility of the Customer to ensure the Goods will be suitable for the application proposed by the Customer.
- Each provision of this Contract which provides a limitation of liability, disclaimer of warranty, condition or exclusion of damages, is separate and independent.
Warranty
- Voltex Electrical provides a warranty for the Goods for the period stated on the Goods packaging or in the document accompanying the Goods, commencing from the date of delivery of the Goods. Voltex Electrical may vary or amend the terms of its Warranty that will apply to Goods sold from the date of that variation or amendment.
- If Voltex Electrical is notified of a warranty claim by the Customer within the Warranty Period Voltex Electrical will, in its sole discretion, determine whether the Goods are to be repaired, replaced or if a refund should be issued.
- The Customer is not entitled to make a warranty claim if the Goods were or may have been (in the opinion of Voltex Electrical):
- not installed by a qualified and licensed electrical tradesperson;
- subjected to misuse, neglect, negligence, or accidental damage;
- operated in any way contrary to any operating or maintenance instructions;
- improperly handled, installed or maintained;
- altered or modified prior to or after installation; or
- installed in anyway other than for its intended purpose described or implied in information provided by Voltex.
- Voltex Electrical may, in its sole discretion, pay any reasonable costs that the Customer has incurred as a result of faulty Goods supplied to the customer by Voltex.
- The warranty to any person under this clause are in addition to the persons rights under Australian Consumer Law.
Warranty Claims
- To make a Warranty Claim, the Customer must:
- contact Voltex Electrical to obtain a Returned Merchandise Authorisation (RMA) Number;
- return the Goods together with all accessories, instructions and other material supplied with the Goods; and
- supply the following information with the returned goods:
- customer contact details;
- the Returned Merchandise Authorisation (RMA) Number for the Goods; and
- a detailed description of the defect or fault
- Voltex Electrical will examine the returned Goods and if Voltex Electrical (in its discretion) determines that the Goods are defective, Voltex Electrical will repair, replace or refund the Customer for the defective the Goods in accordance with the Warranty.
- If the Goods are determined as being defective, Voltex Electrical may reimburse the Customer for the costs associated with the returning of the defective Goods and for redelivery of the replacement Goods by Voltex Electrical (if applicable).
Fitness for purpose
- The Customer acknowledges and agrees that:
- Voltex Electrical, may depending on the Goods purchased by the Customer, either be the manufacturer of the Goods or act as a supplier of Goods manufactured by a third party.
- Voltex Electrical does not make any representations or warranties in relation to the Goods;
- it does not rely on the skill and judgment of Voltex Electrical in relation to the suitability of any of the Goods for a particular purpose or application for which the Goods are required by the Purchaser; and
- Voltex Electrical is under no liability whatsoever if such Goods are not suitable and fit.
- Nothing in this clause limits or excludes any rights or remedies that the Customer may have under the Australian Consumer Law or any other applicable law. Voltex Electrical makes no additional representations or warranties regarding the Goods beyond those required by law, except as expressly stated in writing.

For New Zealand Customers, please refer to the NZ Voltex Electrical privacy policy available on Voltex Electrical's New Zealand based website https://voltexelectrical.co.nz/t-privacy.aspx.
Personal Property Securities Act (Australia)
- Unless the context otherwise requires, defined terms in this clause have the same meaning as given to them in the Personal Property Securities Act 2009 (Cth) (PPSA).
- The Customer acknowledges and agrees that, by accepting this Contract, the Customer grants Voltex Electrical a security interest over the Goods and their proceeds (by virtue of the retention of title as set out above).
- The Customer undertakes to:
- do all acts and provide Voltex Electrical on request all information Voltex Electrical requires to register a financing statement or financing change statement on the Personal Property Securities Register;
- advise Voltex Electrical immediately in writing of any proposed change in the Customer name or other details on the Personal Property Securities Register; and
- in the instance where Goods are sold or sub-hired to a third party, take all steps including registration under the PPSA as may be required to:
- ensure that any security interest arising under or in respect of the sub-hire is enforceable, perfected and otherwise effective under the PPSA;
- enabling you to gain (subject always to the rights of use) first priority (or any other priority agreed to by us in writing) for the security interest; and
- enabling us and you to exercise their respective rights in connection with the security interest.
- The Customer:
- waives its right to receive a verification statement in respect of any financing statement or financing change statement relating to the security interest; and
- waives its rights and, with our agreement, contract out of your rights under sections 95, 118, 121(4), 123(2), 125, 128, 129(2), 130, 132(3)(d), 132(4), 135, 142 and 143 of the PPSA (if applicable).
Force Majeure
- If Voltex Electrical is prevented from providing the Goods as a result of a Force Majeure Event the obligations Voltex Electrical under this Contract will be suspended for the period of the Force Majeure Event. In the event of a Force Majeure Event occurring Voltex Electrical will as soon as practical in the circumstances, notify the Customer in writing of:
- the nature of the Force Majeure Event; and
- the extent to which Voltex Electrical is prevented from providing the Goods
- If the Force Majeure Event continues for a period of two months from the date of the notice issued by Voltex Electrical in (a) above and Voltex Electrical has taken all reasonable steps to eliminate the Force Majeure Event, Voltex Electrical may without penalty, agree with the Customer to cancel or amend an Order affected by the Force Majeure Event.
Release
If a dispute arises between Customers using Voltex Share, the Customer acknowledges and agrees to release Voltex Electrical from any and all claims, demands and damages (actual and consequential) of every kind and nature, known or unknown, arising out of or in any way connected with such disputes.
Call Monitoring and Recording
By engaging with Voltex by telephone, you acknowledge and agree that your calls may be monitored and/or recorded for training, quality assurance, and compliance purposes. Any recordings are handled in accordance with our Privacy Policy and relevant Australian & New Zealand privacy and telecommunications laws. If you do not wish to have your call recorded, please notify our team member at the beginning of the call.
General
- Service of any notice or other communication under this Contract must be in writing and sent to the relevant address set out in the front page of the Order. Any such notice will be deemed to have been received 5 business days after dispatch if sent by mail, or the next business day if delivered by hand or email.
- This Contract is to be construed in accordance with the laws from time to time in the State of New South Wales. The parties submit to the non-exclusive jurisdiction of the Courts of New South Wales and any courts which may hear appeals from those courts in respect to any proceedings in connection with this Contract.
- This Contract may be varied from time to time by Voltex Electrical on 30 days' notice.
- Any conditions found to be void, unenforceable or illegal may, to that extent, be severed from this Contract and the remaining provisions or parts of the provisions of this Contract continues in force.
- No waiver of any of this Contract by Voltex Electrical or failure to exercise a right or remedy or failure to insist upon strict performance by the Customer of this Contract will be considered to imply or constitute a further waiver by Voltex Electrical of the same or any other term, condition, right or remedy, on any subsequent occasion, and will not discharge the Customer from any of its obligations under this Contract.
Privacy Policy
Voltex Electrical Accessories ("Voltex Electrical", “we", "us" or "our") supplies electrical and data products directly to licensed electrical contractors across Australia. We operate an online platform through which account-holding customers can access our range of products, supported by personal service and direct distribution from our warehouses. Our online platform includes the Voltex Electrical website found at https://voltexelectrical.com.au/t-about.aspx and the Voltex Electrical mobile applications for iOS and Android (together, the Platform).
At Voltex Electrical, we are committed to protecting the privacy of our customers and other individuals we interact with.
This privacy policy (Privacy Policy) explains how we will collect, use, disclose, store, and protect Personal Information collected from you (this includes for our customers, website visitors, contractors, suppliers and our staff). This Privacy Policy also describes the way in which you may access or correct your Personal Information that we hold, and how to contact us if you have any complaints in relation to your privacy.
We will handle your Personal Information in accordance with applicable laws:
- for individuals in Australia, the Privacy Act 1988 (Cth) (Privacy Act) and its Australian Privacy Principles (APPs); and
- for individuals in New Zealand, the Privacy Act 2020 (NZ) and Information Privacy Principles (IPPs).
For the purposes of this Privacy Policy a reference to the Privacy Act is either the Australian or New Zealand Privacy Act (as relevant to the individual).
What is Personal Information?
Personal Information includes information or an opinion (including information or an opinion forming part of a database), whether true or not, and whether recorded in a material form or not, about an identified or reasonably identifiable individual. For example, this may include your name, age, gender, and contact details. In the case of New Zealand, it also includes information relating to death that is maintained by the Registrar General under the Births, Deaths, Marriages, and Relationships Registration Act 2021 (NZ).
What is Sensitive Information
In Australia, Sensitive information is a subset of Personal Information and includes but is not limited to, information or an opinion about an individual's:
- racial or ethnic origin;
- political opinions or associations;
- religious or philosophical beliefs;
- membership of a professional or trade association or trade union;
- sexual orientation or practices;
- criminal record; or
- health or genetic or biometric information, as defined in the Privacy Act.
In New Zealand, the Privacy Commissioner describes "sensitive personal information" as any information about an individual that has some real significance to them, is revealing of them or generally relates to matters that an individual might wish to keep private. What this depends on is the context and surrounding circumstances but may include information about:
- health;
- genetics;
- biometrics;
- financial information; or
- personal information about children or young people.
We will only collect Sensitive Information where it is required by law or where you consent to the collection of the Sensitive Information and it is reasonably necessary for one or more of our business functions or activities.
Why do we collect Personal Information?
We collect, use and disclose Personal Information for our business functions and activities, including:
- to provide our goods and services to you;
- to complete transactions on your behalf;
- to perform our contractual obligations to you;
- to better understand your requirements and preferences;
- Voltex Electrical's legitimate business interest (conducting our business);
- engaging third parties, including consultants, contractors and suppliers; and
- to comply with our legal and regulatory obligations under the Privacy Act.
We may also, from time to time, use and disclose some of your Personal Information for other purposes such as:
- to verify your information and identity, perform know your customer and credit checks (if we require) and to protect against fraud and other unlawful activities;
- to detect and prevent abuse of our services;
- to continually improve our goods and services and the relevance of our marketing materials;
- for developing, marketing and supplying our goods and services;
- to fulfil our reporting obligations to any relevant tax and regulatory bodies; and
- to share certain information with relevant third parties in order to provide goods and services and marketing messages.
What kinds of Personal Information do we collect and Hold?
We collect Personal Information that is reasonably necessary for one or more of our business functions or activities.
The type of information that we collect and hold may depend on the relationship you have with us. For example, if you:
- are or may become a customer (including where you make an enquiry via our website or otherwise seek to engage us), we may collect and hold information including your name, address, email address, contact telephone number, banking details, payment information, any information you voluntarily share with us, participant information in market surveys or opinion polls and in some cases, Sensitive Information. We may also hold information related to your browser, operating system, device model, IP address, connection time, cookies and other identifiers;
- seek marketing information from us, we may collect and hold your contact details, marketing preferences (such as whether you wish to receive communications from us), direct marketing consents, browser, operating system, device model, IP address, connection time, cookies, data we receive from third parties that complements the data we process, identifiers and any other analytics information;
- contact us (including via a Zoom meeting or telephone), we may collect and hold call recordings, your responses to any surveys, CCTV recordings. Any recordings are treated as Personal Information and stored securely, with access restricted to authorised staff or approved service providers under confidentiality obligations and are deleted when no longer required;
- have connected to our website, mobile applications, social media channel or other service using your social media profile, we may collect and hold public information available on that profile;
- make any sort of payment or purchase with us, we may collect and hold information about your purchases, payment methods, billing details, deliveries, returns, claims and reservations
- are a supplier, we collect and hold information including your name, address, email address, contact telephone number, business records, billing information, information about goods and services supplied by you.
How do we collect and hold information?
We will collect your Personal Information when you:
- visit our Platform;
- place an order or interact with us;
- engage us to provide goods and/or services;
- interact with us such as:
- provide any information to us; or
- communicate with us via telephone, email or video conference;
- subscribe to our newsletter;
- contact us via our website, any mobile applications, WhatsApp, SMS, instant messaging, live chats, by email or similar;
- communicate with us through our customer service or social media channels;
- share, publish, comment or otherwise engage with content on our social media channels;
- agree to receive marketing or newsletter communications from us; and
- provide any billing or payment information to us during the course of us providing our goods and services to you.
When you enquire about, contact us, sign up to our newsletters, acquire or enlist for any of our goods or services, we collect the Personal Information that you give us such as your name, your telephone number, your address and email address, and your date of birth. We do this so that we can provide you with our goods or services. We also keep Personal Information so that we can respond to queries.
When you place an order, we may also collect specific delivery instructions and payment-related information. This information may be disclosed to third parties involved in processing your order, such as payment providers and delivery service providers. We also collect Personal Information when you register for an account, place orders, or otherwise transact with us. We store your registration and ordering details so that you do not have to re-enter them each time you interact with us. Personal Information you provide is recorded in our systems and, where appropriate, verified for our internal records
You are not required to disclose your Personal Information to us. However, if you do not provide the information requested, you may not be able to receive the full benefit of our Platform and the provision of our goods and services.
Our use and disclosure of Personal Information
We may disclose Personal Information for any of the purposes for which it is collected, or where we are compelled by law. Disclosure will usually be for internal purposes or to related entities or to third parties such as contracted service suppliers.
We may disclose your Personal Information to:
- our related entities and internal personnel for operational purposes;
- our consultants, contractors and service providers, including those engaged to:
- develop, maintain or improve our goods and services;
- provide goods and services to you (including content forming part of those services);
- process payments and fulfil orders; and
- provide marketing, analytics or customer support services;
- third party vendors that support our systems and infrastructure, including website hosting, e commerce platforms, payment processors and IT service providers, to the extent reasonably required to enable and support our services;
- delivery and fulfilment providers, including major delivery companies, mail houses, outsourced call centres and third party logistics contractors, who may receive personal details such as your name, business name and address to complete deliveries;
- payment providers and financial institutions in connection with transactions;
- business partners where necessary for legitimate business purposes (such as marketing research), in which case only limited information relevant to the relevant transaction or services will be disclosed;
- regulatory bodies, government agencies or law enforcement authorities where required or authorised by law, including in response to subpoenas, court orders or mandatory reporting obligations, or to prevent or investigate fraud or unlawful activity;
- the Office of the Australian Information Commissioner (or other privacy regulators) where relevant to a complaint or inquiry; and
- a prospective purchaser or other third party in connection with a sale of business, restructuring or other corporate transaction.
Where Personal Information is transferred or disclosed to such third parties, their access, storage and use will be subject to their privacy policies. To the full extent permitted at law, we are not liable for any loss, damage or claim arising out of a third party’s access, storage or use of your Personal Information where we have transferred or disclosed the Personal Information to such third party in a manner consistent with this Privacy Policy, we were authorised by you (including express or implicit consent), or by law to provide that third party with your Personal Information.
Direct Marketing
From time to time, we use Personal Information to provide you with information about our goods and services that we consider may be of interest to you.
If you would like to receive offers from us, please tick the relevant box when you register with Voltex Electrical. If you no longer wish to receive these offers, please email us or call 1300 722 275 In addition, you can email: sales@voltexelectrical.com.au to manage your subscription. We also have administrative procedures in place to remove email addresses and domains that consistently send failure messages to our email servers. For recipients in New Zealand, all electronic marketing messages will include a functional unsubscribe facility in accordance with the Unsolicited Electronic Messages Act 2007 (NZ).
We will not use or disclose Sensitive Information for direct marketing purposes.
Will we transfer your Personal Information overseas?
Generally, we do not transfer Personal Information overseas however we will do so where our suppliers require it (for instance, our cloud provider has data storage overseas or our payment providers have servers overseas).
In the event that we need to disclose Personal Information overseas, we will comply with the requirements of the Privacy Act when disclosing Personal Information overseas.
We will only disclose your Personal Information overseas if:
- the work for, with or involving you requires it;
- our service providers have platforms or databases based overseas;
- you have provided your prior consent; and
- one or both of the following apply:
- the receiving person or organisation (such as a supplier described above) is subject to a law, binding scheme or binding contract that provides substantially similar protection to the APPs or IPPs which you can access and enforce; or
- if the disclosure is otherwise required or authorised by law.
We will take reasonable steps to ensure that any such recipient of your Personal Information handles that information in accordance with applicable privacy laws.
Keeping of and Protection of Personal Information
We will take reasonable steps to protect the Personal Information from misuse, interference, loss and from unauthorised access, modification or disclosure.
If we hold Personal Information, and we no longer need the information for any purpose for which the information was used or disclosed, the information is not contained in any Commonwealth record and we are not required by law to retain the information, we will take reasonable steps to destroy the information or to ensure it is de-identified.
For payment transactions, Voltex Electrical uses industry standard security measures to protect payment information. Payment data transmitted through our Platform is encrypted using secure technologies, including Secure Sockets Layer and HTTPS encryption protocols. For mobile application transactions, we also use RSA encryption to provide an additional layer of security during the transmission of payment information. Customers may choose to save payment card details for future purchases. Where this feature is used, full payment card details are stored by our third-party payment processor, eWAY.
Access to Personal Information
If we hold Personal Information about you, you can request access to that information by putting the request in writing and sending it to the Privacy Officer. We will respond to any request within a reasonable period.
There are certain circumstances in which we will refuse to grant you access to the Personal Information. In such situations we will give you written notice that sets out:
- the reasons for the refusal; and
- the mechanisms available to you to make a complaint.
Correction of Personal Information
If we hold Personal Information that is inaccurate, out-of-date, incomplete, or misleading, we must take reasonable steps to correct the information.
If we hold Personal Information and you make a request in writing addressed to the Privacy Officer to correct the information, we must take reasonable steps to correct the information and we will respond to any request within a reasonable period.
There are certain circumstances in which we can refuse to correct the Personal Information. In such situations we will give you written notice that sets out:
- the reasons for the refusal; and
- the mechanisms available to you to make a complaint.
If we correct Personal Information that we have previously disclosed to a third party and you request us to notify the third party of the correction, we will take reasonable steps to notify the third party unless impracticable or unlawful to do so.
Data Breach
We are committed to complying with the 'notifiable data breach' scheme (the NDB Scheme) in Australia and the privacy breach notification regime in New Zealand (as may apply under the relevant Privacy Act).
In Australia, a data breach is notifiable to the Office of the Australian Information Commissioner (OAIC) when an 'eligible data breach' occurs which is when:
- there is unauthorised access to or unauthorised disclosure of Personal Information, or a loss of Personal Information, that an organisation holds;
- the eligible data breach is likely to result in serious harm to one or more individuals; and
- the organisation has not been able to prevent the likely risk of serious harm of the eligible data breach with remedial action.
In New Zealand, a 'notifiable privacy breach' means a privacy breach that it is reasonable to believe has caused serious harm to an affected individual or individuals or is likely to do so. The assessment of whether serious harm has occurred, or is likely to occur, considers factors such as measures to contain the information, the nature of the harm that may be caused, whether the personal information is sensitive in nature and whether any unintended recipient of that information may cause harm to the person that the information is about. Types of serious harm include:
- physical harm or intimidation;
- financial fraud, including unauthorised credit card transactions or credit fraud;
- identity theft;
- psychological or emotional harm;
- employment harm such as the loss of a job opportunity or work assignment;
- blackmail e.g., threat of publishing sensitive information;
- threats to national security;
- kidnapping;
- theft of significant amounts of money; and
- a risk that an individual’s life could be in danger.
An organisation may take remedial steps to prevent the likelihood of serious harm occurring for any affected individuals after a data breach has occurred. In which case, the data breach is not an 'eligible data breach'.
Where we have reasonable grounds to believe that we have experienced an eligible data breach (and remedial action cannot be used), we will notify affected individuals and the OAIC about the breach in accordance with the Privacy Act.
